Terms and Conditions of the centron Channel Partner Programme
Information on the legal and organisational framework of the Channel Partner Programme.
Participation and proof of business status
Only companies, legal entities and registered traders may take part in the centron Channel Partner Programme. Private individuals are excluded from participation. For approval, centron may require proof of business activity, such as an extract from the commercial register, a business registration certificate or a comparable document. Participation is reviewed and confirmed by centron.
Referral and allocation of end customers
A channel partner refers potential end customers to centron and registers them via the designated process. For end-customer turnover to be taken into account, it must be clearly attributable to the channel partner. The registration must be complete and accurate. If an end customer is already a centron customer, is already assigned to another partner, or cannot be clearly identified, the assignment may be rejected.
Contractual Relationship, Invoicing and Provision of Services
The end customer enters into their contract directly with centron. centron handles the contract administration, issues the invoices and provides the agreed services directly to the end customer. The channel partner is solely responsible for acting as an intermediary. They do not resell centron services in their own name and do not issue invoices to the end customer.
Calculation and use of the credit balance
The monthly credit is calculated on the basis of the relevant net turnover from the assigned end customers. The applicable percentage depends on the channel partner’s current tier level. Taxes, discounts, credits, special agreements and non-eligible revenue components are excluded. The credit is credited to the channel partner’s account on a monthly basis and can be used for their own infrastructure at centron.
Exclusions and termination of participation
In particular, the following are excluded from the calculation: turnover from end customers who cannot be clearly assigned, unconfirmed referrals, and elements of turnover that do not comply with the programme terms and conditions. In the event of false information, misuse or breaches of the terms and conditions, centron may reject individual attributions or terminate participation. Termination is subject to the agreed notice periods and conditions. Once termination has taken place, no further end customers may be registered.
Data Protection and Data Access
centron processes the company, contact, contract and turnover data required to run the programme in accordance with the applicable Data Protection Regulations . Channel partners are only granted access to the information they require to manage their partner relationship and to check their credit balance. Access to further end-customer data requires the appropriate authorisation or consent.
Changing or removing a partner assignment
End customers can view, change or remove their existing channel partner assignment within the scope of the available functions. They can also specify which information and rights are available to the channel partner. Changes generally apply to future billing periods and may affect future credit calculations. Periods that have already been completed and correctly billed remain unaffected.
